GNext Solutions LLC | Master Terms of Service

Welcome to GNext Solutions LLC. These Terms of Service (“Terms”) constitute a high-level legal agreement between GNext Solutions LLC (“Agency,” “we,” “us”) and the client (“Client,” “you”). By engaging our services—including but not limited to Web Development, Mobile Apps, GMB Optimization, and AI Solutions—you agree to the following framework.

1. Professional Service Ecosystem

GNext Solutions provides high-performance digital engineering. Our core offerings include:

Strategic Web & Mobile Development: Custom React, WordPress, and Native App environments.
Conversion-Engine Landing Pages: Specialized high-conversion “squeeze” pages.
GMB & Local Authority: Google Business Profile optimization and local SEO dominance.
AI & SaaS Integration: Multi-tenant platform architecture and AI-driven business logic.

2. Milestone-Based Financial Architecture

For all custom development and high-tier agency projects, GNext Solutions operates on a strict 25/25/25/25 milestone payment schedule to ensure dedicated engineering resources:

Phase 1: Strategy & Discovery (25%): Due upfront upon signing. Covers architecture mapping, sitemaps, and technical documentation. (Non-refundable).
Phase 2: UI/UX & Prototype (25%): Due upon approval of high-fidelity designs. Development does not commence until this milestone is cleared.
Phase 3: Beta Development (25%): Due upon delivery of a functional build on our private staging server for client testing.
Phase 4: Optimization & Launch (25%): Due prior to final “Go-Live,” server migration, and transfer of ownership.

Note: Smaller “Productized Services” (Single Landing Pages or GMB Setup) may require 100% upfront payment.

3. Intellectual Property (IP) & Code Ownership

Client Assets: Upon 100% project payment, the Client owns the front-end visual design and unique content created specifically for their brand.
Agency Frameworks: GNext Solutions retains all rights to its proprietary “Vibe Coding” libraries, pre-existing backend modules, and AI logic (e.g., VoiceForce AI core). The Client is granted a non-exclusive, perpetual license to use these modules within the scope of the project.
Source Code Access: Full access to source code or administrative credentials is provided only after the final 25% milestone is settled.

4. Technical Execution & Liabilities

The “As-Is” Provision: All software is delivered “As-Is.” While we engineer for 99.9% stability, we are not liable for third-party API deprecations (Google, OpenAI, Meta), hosting outages, or cyber-attacks beyond our control.
Warranty: We provide a 30-day Technical Warranty post-launch to rectify any functional bugs identified in the original scope of work.
Third-Party Costs: The Client is responsible for all external costs including hosting, domain fees, and premium API usage (e.g., GPT-4 tokens, Twilio credits).

5. Project Governance & “Kill” Clauses

Suspension Clause: If a project is stalled for >14 business days due to a lack of Client feedback, the project is marked “Inactive.” A $150 Reactivation Fee is required to re-allocate development resources.
Termination: Either party may terminate the agreement with 7 days’ written notice. The Client is billed for all work completed up to the termination date.
Refunds: Refunds are only issued if the Agency fails to deliver the technical requirements defined in the Discovery Document. Dissatisfaction based on “subjective taste” or changed business goals does not qualify for a refund.

6. Privacy & Data Integrity

Data Sovereignty: We do not sell client or user data. We utilize industry-standard SSL/TLS encryption for all data transmissions.
Cookies & Tracking: We use technical cookies for session management and security. By using our platforms, you consent to our privacy architecture.
Confidentiality: Both parties agree to a mutual Non-Disclosure Agreement (NDA) regarding proprietary business strategies and internal code logic.

7. Dispute Resolution & Jurisdiction

Any legal disputes arising from this agreement shall be governed by the laws of the State of Utah (US) for international contracts, or the courts of Lahore, Pakistan, for local engagements, at the Agency’s discretion.
